1. SCOPE AND WHO WE ARE
This Privacy Policy explains how Tokisphere ("Tokisphere," "we," "us") collects, uses, discloses, and protects personal information in connection with tokisphere.com, its subdomains, and related services (the "Service"). It applies to: visitors, users who record non-binding indications of potential investment interest, Issuers and their personnel, waitlist subscribers, and anyone who contacts us. It does not apply to: (a) personal information handled by an Issuer after you elect to share it (Section 8); (b) third-party websites or services you access from the Service; or (c) information that is not personal information under applicable law. Capitalized terms not defined here have the meanings given in the Terms of Use.
2. A NOTE ON WHAT TOKISPHERE IS
Because our category is often misunderstood, one clarification matters for privacy purposes: Tokisphere is not a place where securities are offered, sold, purchased, reserved, allocated, subscribed for, or transferred. We do not accept investment funds, deposits, subscriptions, or escrowed amounts; hold or custody funds or securities; open brokerage, investment, custody, or financial accounts; or ourselves complete securities transactions. The Service may allow you to provide a non-binding indication of potential investment interest, including a non-binding amount you may be interested in investing if a legally compliant offering later exists through a separate process. Those indications, amounts, and any dollar-denominated fields in the ordinary Service are not subscriptions, reservations, allocations, purchase orders, binding investment commitments, commitments of funds, financial accounts, target raises, fundraising goals, committed capital, reserved capital, offering amounts, or progress toward financing. Tokisphere does not itself perform customer identification, KYC, AML, accreditation verification, suitability review, brokerage onboarding, investment-account opening, escrow, transfer-agent services, securities settlement, or securities-transaction payment processing. Do not send Social Security numbers, government identification numbers, bank account numbers, brokerage account numbers, payment-card numbers, tax forms, accreditation documentation, investment-account credentials, or sensitive financial documentation unless we expressly request them through a legally reviewed process. Tokisphere's ordinary Service is not intended to make Tokisphere a financial institution under the Gramm-Leach-Bliley Act or a broker-dealer subject to Regulation S-P. If you later proceed through Tokiworld, a broker-dealer, funding portal, transfer agent, escrow agent, payment processor, investment platform, issuer, or other regulated, or transaction-service provider, that separate process is outside Tokisphere's ordinary Service and may involve separate notices, consents, privacy practices, legal requirements, verification, account-opening, payment, escrow, transfer, settlement, or regulated records.
3. INFORMATION WE COLLECT
3.1 Information You Provide
Visitors and Users Indicating Interest
Indicated-interest records - the Listing for which you indicated non-binding potential investment interest, any non-binding indicated amount, timestamp, and a device- or session-level identifier used to detect duplicate and automated activity. These records and any dollar-denominated fields are not subscriptions, reservations, allocations, purchase orders, binding investment commitments, commitments of funds, financial accounts, target raises, fundraising goals, committed capital, reserved capital, offering amounts, progress toward financing, or proof of eligibility.
Optional contact information - name and email address, only if you affirmatively choose to share it with an Issuer when recording a non-binding indication of interest (Section 8)
Waitlist - email address, and any information you volunteer Issuers and Account Holders
Account information - name, business email, password credential (stored only as a salted hash), organization name, role, and where provided, phone number and mailing address
Listing content - everything you submit for publication: Concept descriptions, narrative answers, images, logos, links, and uploaded files and their metadata
Billing information - billing name, billing address, plan, transaction history, and a payment-method token. Full payment card numbers are collected and stored by our payment processor, not by us
Verification and correspondence - information exchanged during Review, support, or dispute handling Everyone

Survey, research, and feedback responses
3.2 Information Collected Automatically
Device and connection data - IP address, browser type and version, operating system, device type, screen characteristics, language and time-zone settings
Usage data - pages viewed, referring and exit pages, links clicked, features used, search terms entered on the Service, timestamps, session duration, scroll and interaction events
Approximate location - derived from IP address at city or region level. We do not collect precise geolocation
Identifiers - cookie identifiers, session identifiers, and locally stored values (Section 9)
Integrity signals - rate-limiting, bot-detection, and duplicate-detection signals used to protect indicated-interest integrity
3.3 Information We Do Not Collect
We do not knowingly collect, and ask that you never provide unless expressly requested through a legally reviewed process: Social Security or national identification numbers; driver's license, passport, or other government ID numbers or images; bank, brokerage, or investment account numbers or credentials; full payment card numbers; tax forms; accreditation documentation; sensitive financial documentation; biometric or genetic data; precise geoloca- tion; health information; or information about children under 18. We do not ask for or collect information about your income, net worth, accreditation status, investment experience, portfolio, or financial condition as part of the ordinary Service.
3.4 Sensitive Information
We do not intentionally collect information that is "sensitive personal information" or a "special category" under applicable law (racial or ethnic origin, religious or philosophical beliefs, political
opinions, trade-union membership, health, sex life, sexual orientation, genetic or biometric data, precise geolocation, government identifiers, or account credentials in combination with access codes). Do not submit such information through Listings, Discussion posts, uploaded files, or support messages. If you do, you consent to our handling of it as described here, and we may delete it.
4. SOURCES OF INFORMATION
We obtain personal information from: (a) you directly; (b) your device and browser automati- cally; (c) service providers acting for us (hosting, analytics, email delivery, payment processing, security); (d) publicly available sources, where we verify a business identity or investigate sus- pected misuse; and (e) other Users, where they include information about you in content they submit.

6. AUTOMATED PROCESSING AND AI
6.1 Where Automation Is Used
The Service uses automated tools to: assemble and format draft Listing text from materials an Issuer supplies; flag Listings for human attention during Review; detect duplicate, automated, or manipulative non-binding interest-indication activity; and order Listings by non-binding interest-indication count and recency.
6.2 Human Involvement
Review outcomes and account enforcement decisions involve human judgment. Auto- mated flagging supports, but does not replace, that judgment. Rankings are produced by uni- form, non-discretionary display rules and do not evaluate any individual.
6.3 Model Training
We do not use your personal information, your Listing content, or your uploaded mate- rials to train, fine-tune, or improve any general-purpose machine-learning model, and our contracts with AI service providers prohibit them from doing so with data we submit. Content you publish publicly on the Service may be collected by third parties outside our control.
6.4 Your Rights
Where applicable law grants you rights concerning automated decision-making or profiling, you may exercise them under Section 11, including the right to obtain human review of any decision that significantly affects you.
7. HOW WE DISCLOSE INFORMATION
We do not sell personal information. We do not share personal information for cross- context behavioral advertising. We have not done either in the preceding 12 months. We disclose personal information as follows:
7.1 To Issuers - aggregate data by default; identifiable data only with your election. We provide Issuers aggregate, non-identifying demand-measurement statistics about their Listings. If you affirmatively choose to share contact information, your non-binding indication of potential investment interest, or your non-binding indicated amount when recording an interest indication, we transmit only the information you elected to share to the Issuer of that Listing, and the collection interface must disclose that sharing before or at the point of collection. See Section 8. Issuers otherwise receive only aggregate, non-identifying statistics about their Listing (such as total non-binding interest-indication count, aggregate non-binding indicated amounts, and count over time), whether or not any user shares contact information. Issuers may not treat any disclosed indication or amount as a subscription, reservation, allocation, purchase order, binding investment commitment, commitment of funds, financial account, target raise, fundraising goal, committed capital, reserved capital, offering amount, progress toward financing, proof of eligibility, or completed securities transaction.
7.2 To service providers. Vendors that process information on our behalf under written contracts limiting them to our instructions:

7.3 Publicly. Listing content, Issuer identity as presented in the Listing, and Discussion posts are public by design. Do not include personal information or investment-sensitive information in public content unless you want it publicly visible. Individual non-binding indications of potential investment interest and individual non-binding indicated amounts are never displayed publicly with identifying information; only aggregate, non-identifying counts and aggregate indicated-interest amounts are shown, and those aggregate amounts are not target raises, fundraising goals, committed capital, reserved capital, offering amounts, or progress toward financing.
7.4 For legal reasons. We disclose information where we believe in good faith it is necessary to comply with law, legal process, subpoena, court order, or a request from a governmental, regulatory, or self-regulatory authority (including the SEC, FINRA, state securities regulators, the FTC, and state attorneys general); to enforce our Terms; to investigate suspected fraud, manipulation, or security incidents; to establish, exercise, or defend legal claims; or to protect the rights, property, or safety of Tokisphere, our Users, or the public. Where legally permitted and operationally practicable, we make reasonable efforts to notify affected Users of legal process seeking their information.
7.5 Corporate transactions. In connection with a merger, acquisition, financing, reorganization, bankruptcy, or sale of assets, subject to the acquirer's continued adherence to commitments materially consistent with this Policy or notice and choice where required.
7.6 With your direction or consent. For any other purpose you authorize.
7.7 Aggregated and de-identified information. We may create and disclose aggregate or de-identified information that cannot reasonably be used to identify you. We maintain such information in de-identified form, do not attempt to reidentify it, and contractually require recipients not to reidentify it.
8. ISSUERS AS INDEPENDENT CONTROLLERS
This section is important. Please read it before sharing contact information, a non-binding indication of potential investment interest, or a non-binding indicated amount with an Issuer. Sharing your name, email, non-binding interest indication, or non-binding indicated amount with an Issuer when you record a non-binding indication of potential investment interest is entirely optional and is never required, and the collection interface must disclose that sharing before or at the point of collection. If you choose to share:
The Issuer becomes an independent controller of that information. It decides how to use it, and it - not Tokisphere - is responsible for that use.
We do not control, monitor, or supervise how Issuers use it. Our Terms require Issuers to use it only for the purpose disclosed to you at the time and to comply with applicable privacy, anti-spam, and telemarketing laws, but we cannot guarantee compliance and are not liable for an Issuer's acts or omissions.
You cannot un-share it through us. We can delete our copy on request, but we cannot compel an Issuer to delete theirs. To exercise rights against an Issuer, contact the Issuer directly using the contact details in its Listing.
Sharing is not a securities offer, sale, purchase, reservation, allocation, subscription, transfer, commitment of funds, financial account, target raise, fundraising goal, committed capital, reserved capital, offering amount, progress toward financing, or request to be contacted about an investment. It is a non-binding signal of potential interest
in a Concept. No Issuer may treat it as a request to receive an offer of securities, subscription, reservation, allocation, purchase order, binding investment commitment, commitment of funds, financial account, target raise, fundraising goal, committed capital, reserved capital, offering amount, progress toward financing, or proof of eligibility. If you prefer not to be contacted, record your non-binding indication of potential investment interest without sharing contact information, the indication, or the indicated amount with the Issuer. Your indication still counts in aggregate, non-identifying demand-measurement statistics.

9.2 Your Choices
Where required by law, we present a consent banner allowing you to accept or reject non- essential cookies and to change your choice at any time via [COOKIE SETTINGS LINK]. You may also block or delete cookies through your browser; strictly necessary cookies cannot be disabled without impairing the Service.
9.3 Global Privacy Control
We recognize and honor the Global Privacy Control (GPC) and comparable browser- based opt-out preference signals as a valid opt-out of sale/share and, where applicable, of targeted advertising, for the browser transmitting the signal.
9.4 Do Not Track
There is no consensus standard for Do Not Track browser signals. We do not respond to DNT, but we honor GPC as described above.
10. RETENTION
We retain personal information only as long as necessary for the purposes described in this Policy, and then delete or de-identify it. Guidelines:

11. YOUR PRIVACY RIGHTS
11.1 Rights Available

11.2 How to Exercise
Email info@tokisphere.com with the subject "Privacy Request," or use [WEB FORM LINK]. Tell us the right you wish to exercise and the email address associated with your use of the Service.
11.3 Verification and Timing
We verify requests in a manner proportionate to their sensitivity, generally by confirming control of the email address associated with the information, and may request additional information solely for verification. We respond within 45 days (extendable once by an additional 45 days with notice), or within the shorter period required by applicable law (one month under GDPR/UK GDPR, extendable by two months). Requests are free unless manifestly unfounded or excessive.
11.4 Appeals
If we deny your request, you may appeal within 60 days by emailing info@tokisphere.com with the subject "Privacy Appeal." We will respond within 45 days with our decision and reasoning. If your appeal is denied, you may contact your state attorney general or supervisory authority (Sections 12 and 13).
11.5 Authorized Agents
An authorized agent may submit a request on your behalf with written authorization or a valid power of attorney. We may contact you to confirm.
11.6 Limits
We may decline a request where an exception applies - for example, where retention is required by law, necessary to complete a transaction for Tokisphere paid services, necessary for security or fraud prevention, neces- sary to establish or defend legal claims, or subject to a litigation hold. A deletion request does not remove Listing content you published publicly and that others have relied on or referenced, does not remove aggregate, non-identifying indicated-interest statistics or aggregate indicated amounts that are not subscriptions, reservations, allocations, purchase orders, commitments of funds, financial accounts, target raises, fundraising goals, committed capital, reserved capital, offering amounts, or progress toward financing, and does not reach information already transmitted to an Issuer at your election (Section 8).
12. U.S. STATE PRIVACY DISCLOSURES
This Section supplements the above for residents of states with comprehensive privacy laws, including California (CCPA/CPRA), Virginia, Colorado, Connecticut, Utah, Texas, Oregon, Montana, Delaware, Iowa, Nebraska, New Hampshire, New Jersey, Minnesota, Mary- land, Rhode Island, Indiana, Kentucky, Tennessee, and Florida (FDBR).

Business-purpose disclosures. Every category we collect is disclosed only to the service- provider categories listed in Section 7.2 (hosting, payment processing, email delivery, analytics, error monitoring, support, security, and AI processing), and to the recipients described in Sec- tions 7.1 and 7.4. Sources, purposes, and retention are described in Sections 4, 5, and 10.
12.2 No Sale, No Share, No Targeted Advertising
We do not sell personal information, do not share it for cross-context behavioral ad- vertising, and do not process it for targeted advertising or for profiling in furtherance of decisions producing legal or similarly significant effects. We have not done so in the preceding 12 months, and we do not sell or share the personal information of any consumer we know to be under 16.
12.3 Sensitive Personal Information
We do not collect or process sensitive personal information, and therefore do not use or disclose it for purposes requiring a right to limit.
12.4 California Shine the Light
California residents may request information about disclosures of personal information to third parties for their direct marketing purposes. We make no such disclosures. Requests: [PRI-

12.5 California Minors
We do not knowingly collect information from anyone under 18. Any California resident under 18 who has posted content may request its removal at info@tokisphere.com; removal may not be complete or comprehensive where content has been republished by others.
12.6 Notice of Financial Incentive
We offer no financial incentive, price difference, or service-level difference in exchange for personal information.
12.7 State Regulators
California residents may contact the California Privacy Protection Agency or the California At- torney General. Residents of other states may contact their state Attorney General. Nothing in this Policy or our Terms limits your right to do so.
13. EUROPEAN ECONOMIC AREA, UNITED KINGDOM, AND SWITZERLAND
13.1 Controller
Tokisphere is the controller of personal information described in this Policy. 13.3 Your Rights
Access, rectification, erasure, restriction, portability, objection (including to processing based on legitimate interests and to direct marketing at any time), withdrawal of consent, and the right not to be subject to solely automated decisions with legal or similarly significant effects. Exercise them under Section 11.
13.4 Complaints
You may lodge a complaint with your local supervisory authority or, in the UK, with the Informa- tion Commissioner's Office. We would appreciate the chance to address your concern first.
13.5 Transfers
See Section 15.
14. OTHER JURISDICTIONS
Canada. We handle personal information consistent with PIPEDA principles. Complaints may be made to the Office of the Privacy Commissioner of Canada. Commercial electronic messages are sent only with consent as required by CASL. Brazil. Where LGPD applies, you have rights of confirmation, access, correction, anonymization, portability, deletion, and information about sharing, exercisable under Section 11. Australia. Where the Privacy Act 1988 applies, complaints may be made to the Office of the Australian Information Commissioner. Other. Where local law grants greater rights than this Policy describes, those rights apply.
15. INTERNATIONAL TRANSFERS
We are based in the United States, and personal information we collect is processed and stored in the United States and in other countries where our service providers operate. These countries may have data-protection laws that differ from those in your country, and government authorities in those countries may be able to access information under their laws. Where we transfer personal information out of the EEA, UK, or Switzerland, we rely on: (a) the European Commission's Standard Contractual Clauses (and the UK International Data Transfer Addendum, and Swiss equivalents) with appropriate supplementary measures; (b) an adequacy decision, where one applies; or (c) another lawful transfer mechanism. Copies of the relevant safeguards are available on request at info@tokisphere.com. [Confirm whether the entity certifies to the EU-U.S. Data Privacy Framework; if not, do not reference it.]
16. SECURITY
We maintain administrative, technical, and physical safeguards designed to protect personal in- formation, including: encryption in transit (TLS) and at rest; password hashing with a modern algorithm and per-user salt; role-based access control and least-privilege provisioning; multi- factor authentication for administrative access; audit logging of administrative actions; network segmentation and firewalling; vulnerability management and dependency scanning; vendor se- curity review; and an incident response plan with defined roles and notification procedures. [Verify every control listed is actually implemented. Listing a control you do not have is a decep- tive practice and a common enforcement theory. Delete any that are aspirational.] No method of transmission or storage is completely secure. We cannot and do not guar- antee absolute security, and you provide information at your own risk. Use a strong, unique password, do not reuse it, and notify us immediately at info@tokisphere.com of any suspected compromise. If a breach affecting your personal information occurs, we will notify you and applicable regulators as and when required by law.
17. CHILDREN
The Service is not directed to children and is not intended for anyone under 18. We do not knowingly collect personal information from anyone under 18. If we learn we have collected such information, we will delete it promptly. If you believe a person under 18 has provided information, contact info@tokisphere.com. We comply with the Children's Online Privacy Protection Act.
18. THIRD-PARTY SITES AND SERVICES
Listings and other content may link to third-party websites, including Issuer websites. Downstream Tokiworld, broker-dealer, funding portal, transfer agent, escrow agent, payment processor, investment platform, issuer, regulated offering, or other separate regulated or third-party offering processes are not conducted on Tokisphere's ordinary Service and may be governed by separate privacy notices, consents, terms, privacy practices, legal requirements, verification, account-opening, payment, escrow, transfer, settlement, regulated records, regulatory obligations, and financial-privacy practices. This Policy does not apply to those sites, services, or processes, and we are not responsible for their content, privacy practices, or security. Review the privacy policy of any site or service you visit or use.
19. CHANGES TO THIS POLICY
We may update this Policy. We will post the revised version with an updated "Last Updated" date. For material changes, we will provide prominent notice on the Service and, where we have your email address and the law requires it, by email, before the change takes effect. Where a material change affects information we already hold and applicable law requires consent, we will obtain it. Continued use after the effective date constitutes acceptance of non- material changes. Prior versions are available at [ARCHIVE LINK].
